Elvinger Hoss Prussen provided legal advice to the lead arrangers on Luxembourg legal aspects of the US$8.3 billion financing for Altas Investissement’s public tender offer for the shares and SDRs of Millicom. Our role focused on advising on the Luxembourg structuring and implementation of the financing and security package, including corporate and enforceability matters as well as Luxembourg public M&A aspects. We reviewed and negotiated local law elements of the finance documentation and ensured legal compliance with Luxembourg legal requirements in a multi-jurisdictional context. The transaction, one of the largest telecom-related financings involving Luxembourg entities in recent years, demonstrated our ability to support high-value, complex cross-border financings with a strong Luxembourg component.
