Elvinger Hoss Prussen provided legal advice to Blackstone on the Luxembourg legal aspects of Blackstone’s acquisition of an 80% stake in Burstone’s c. EUR 1bn pan-European logistics portfolio. Our team assisted with the due diligence (corporate, IP/IT, labour law), the review and negotiation of Luxembourg law aspects of the sale and purchase agreement, shareholder arrangements and financing documentation as well as internal restructuring elements relating to the Luxembourg entities involved. The transaction required the coordination of multiple workstreams, including the review of corporate governance matters and advice on the acquisition, financing and pre- and post-acquisition reorganisation. This deal, involving high-value logistics assets across Europe, highlights our ability to support global sponsors in executing complex cross-border investments with a Luxembourg dimension.
