Elvinger Hoss Prussen is advising on Luxembourg legal matters for Votorantim S.A. (the seller) and Nexa Resources S.A. (the target company) in connection with the sale of 64.68% controlling stake in Nexa Resources to Boliden AB for USD 1.3 billion.
The share-swap transaction is expected to close in the first quarter of 2027, pending regulatory and shareholder approvals. The union of the two operational structures will give rise to a global-scale giant in the mining and metallurgy sector. The combination will result in a group with 12 mining units and 8 metallurgical units (smelters) distributed across Europe, Brazil, and Peru.
