
Elvinger Hoss Prussen is assisting Subsea7 on Luxembourg law matters on its proposed merger with Saipem.
Subsea7 is a subsea engineering, construction and services company for offshore projects in the energy industry listed on Euronext Oslo. Saipem is an Italian engineering and construction company for both offshore and onshore energy and infrastructure sectors listed on Euronext Milan.
The planned combination, to be achieved by way of an EU cross-border statutory merger, is expected to create a global leader in energy services and will be renamed Saipem7. Completion is still subject to customary conditions precedent for a transaction of this nature, including, inter alia, approval by the shareholders’ meetings of both companies and obtaining the required regulatory clearances.
